General Terms and Conditions (GTC) for HTS Hanse Tech Solution GmbH

These General Terms and Conditions govern all business transactions between HTS Hanse Tech Solution GmbH(hereinafter referred to as “HTS Hanse Tech” or “Supplier”) and its customers. By engaging with our products and services, customers acknowledge and accept these terms.

1️⃣ Scope of Application

1.1 These GTC apply to all sales, deliveries, and services provided by HTS Hanse Tech to its customers worldwide.

1.2 Any conflicting or supplementary terms of the customer are only valid if expressly confirmed in writing by HTS Hanse Tech.

1.3 These GTC apply to both one-time and future transactions with the same customer.

2️⃣ Offers, Orders, and Contract Formation

2.1 All offers from HTS Hanse Tech are non-binding unless explicitly stated otherwise.

2.2 A contract is only formed when HTS Hanse Tech provides written confirmation of an order or begins execution of the order.

2.3 The customer is responsible for ensuring that any specifications, requirements, and technical details provided are accurate and complete.

2.4 Any modifications to an order must be mutually agreed upon in writing.

3️⃣ Prices and Payment Terms

3.1 All prices are in Euros (EUR), ex-works (EXW) Hamburg, Germany, unless agreed otherwise.

3.2 Prices are exclusive of VAT, customs duties, and other applicable taxes, which must be paid by the customer.

3.3 Payment terms are 30 days net from the invoice date unless stated otherwise.

3.4 HTS Hanse Tech reserves the right to demand advance payment or financial security if a customer’s creditworthiness is in question.

3.5 If a customer fails to pay on time, interest at 8% above the ECB base rate will be charged.

4️⃣ Delivery, Transfer of Risk, and Delays

4.1 Delivery terms follow Incoterms 2020 and are typically EXW Hamburg unless agreed otherwise.

4.2 The risk of damage or loss transfers to the customer once goods are handed over to the carrier.

4.3 Delivery times are estimated and non-binding unless explicitly agreed upon in writing.

4.4 In cases of force majeure (e.g., war, strikes, natural disasters), HTS Hanse Tech is not liable for delays and reserves the right to extend deadlines or cancel deliveries.

5️⃣ Retention of Title

5.1 Delivered goods remain the property of HTS Hanse Tech until full payment is received.

5.2 The customer may not resell, pledge, or transfer ownership of unpaid goods without prior written consent.

5.3 If the customer fails to fulfill payment obligations, HTS Hanse Tech may reclaim the goods at the customer’s expense.

6️⃣ Inspection, Complaints, and Warranty

6.1 The customer must inspect the goods immediately upon receipt and notify HTS Hanse Tech of any defects within 7 days.

6.2 If a defect is discovered later, it must be reported immediately upon detection, but no later than 30 days after delivery.

6.3 In case of defective goods, HTS Hanse Tech may choose to:

• Repair the defect

• Provide a replacement

• Offer a price reduction

6.4 Warranty claims expire after 12 months from the date of delivery.

7️⃣ Liability and Limitations

7.1 HTS Hanse Tech is only liable for damages caused by intentional or gross negligence.

7.2 Liability for indirect, consequential, or incidental damages (e.g., lost profits) is excluded unless required by law.

7.3 In case of delayed deliveries, HTS Hanse Tech’s liability is limited to 0.5% per week, with a maximum of 5% of the order value.

8️⃣ Force Majeure

8.1 HTS Hanse Tech is not liable for delays or non-performance caused by:

• Natural disasters (earthquakes, floods, pandemics)

• Political events (wars, sanctions, embargoes)

• Supply chain disruptions (factory shutdowns, raw material shortages)

8.2 In such cases, HTS Hanse Tech may extend delivery timelines or terminate the contract without liability.

9️⃣ Compliance with Laws and Regulations

9.1 The customer is responsible for ensuring compliance with all applicable import/export regulations in their country.

9.2 If required by law, HTS Hanse Tech provides Material Safety Data Sheets (MSDS) and certifications for its products.

9.3 The customer shall not use HTS Hanse Tech’s products for illegal or unauthorized purposes.

🔟 Governing Law and Jurisdiction

10.1 These GTC are governed by German law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

10.2 Any disputes shall be settled in the competent courts of Hamburg, Germany.

🔹 Final Provisions

11.1 If any provision of these GTC is found invalid, the remaining terms remain fully enforceable.

11.2 Changes or amendments to these GTC must be agreed upon in writing.

11.3 The latest version of these GTC supersedes all previous agreements.
